1. INTRODUCTION

Welcome to LXDN Plus Inc., operating under the brand name LXDN+, at lxdnplus.com (the “Website”).

Throughout these Terms of Service (“Terms”), “we,” “us,” “our,” or the “Company” refers to LXDN Plus Inc., and “you” or “your” refers to visitors, registered users, customers, and giveaway participants.

By accessing or using the Website, creating an account, completing a purchase, or indicating acceptance of these Terms, you agree to be bound by these Terms and all applicable policies.

These Terms should be read alongside our Privacy Policy, Refund & Cancellation Policy, and Official Giveaway Rules.

If you do not agree to these Terms, please discontinue use of the Website.

2. DIGITAL PRODUCT TICKETS

LXDN+ offers exclusive downloadable digital watch products through ticket purchases.

Each ticket represents a digital product purchase and includes:

• 1 Exclusive Digital Wallpaper Pack featuring premium, high-resolution watch photography.
• 1 Complimentary Promotional Giveaway Entry into the applicable LXDN+ Giveaway.
• Electronic Delivery of the purchased digital product following successful checkout.

For clarity, customers purchasing tickets are purchasing digital wallpaper products. The associated giveaway entries are provided as complimentary promotional benefits.

Each eligible ticket includes one (1) complimentary giveaway entry.

The price, quantity, digital product description, and applicable giveaway will be displayed on the relevant product page before purchase.

The number of tickets available may vary between giveaways.

No purchase is required to participate in our promotional giveaways through the alternative entry method described in our Official Giveaway Rules.

3. PURCHASES & PAYMENT

All ticket purchases are completed through the secure checkout system on lxdnplus.com.

By completing a purchase, you agree that:

• All prices are displayed and processed in United States Dollars (USD) unless otherwise stated.
• You are responsible for reviewing ticket quantities, product descriptions, and order details before checkout.
• Each purchased ticket includes the digital product described on the applicable product page.
• Complimentary promotional entries are allocated following successful purchase confirmation.
• Orders may be subject to payment verification, fraud screening, and security checks.

We reserve the right to reject, cancel, or limit transactions where reasonably necessary to prevent fraud, comply with applicable law, or address technical errors.

Payments are processed through authorized third-party payment providers.

LXDN+ does not intentionally store complete payment card details on its own servers.

4. DIGITAL PRODUCT DELIVERY

Digital products purchased through LXDN+ are delivered electronically.

Upon successful checkout, customers will receive access to their purchased Digital Wallpaper Pack through the delivery method specified during checkout, typically by email.

Customers are responsible for providing accurate contact information.

We will make reasonable efforts to resolve legitimate delivery issues.

Digital products are intended for personal use only unless otherwise expressly authorized.

Purchasing a digital product does not transfer ownership of any associated intellectual property rights.

5. REFUNDS & CANCELLATIONS

Due to the digital nature of our products, all ticket purchases are generally considered final sales.

Refunds, exchanges, cancellations, and order modifications are not ordinarily provided after purchase and digital fulfillment, except where required by applicable law.

Customers are responsible for reviewing their purchases before checkout.

Complimentary promotional entries associated with valid purchases cannot ordinarily be transferred, exchanged, or modified at a customer’s request.

If an order is refunded, reversed, cancelled, or determined to be fraudulent, associated complimentary promotional entries may be invalidated or removed in accordance with our Official Giveaway Rules.

Nothing in these Terms limits statutory consumer rights that cannot legally be waived.

6. NO PURCHASE NECESSARY — PROMOTIONAL GIVEAWAYS

LXDN+ operates promotional giveaways in which eligible participants have an opportunity to win advertised prizes.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN.

Eligible digital product ticket purchases include one (1) complimentary promotional entry per ticket.

Individuals may also participate without making a purchase through the free mail-in alternative method of entry (“AMOE”) described in our Official Giveaway Rules.

All eligible entries, whether received through a complimentary ticket-purchase entry or a free alternative entry method, are included in the applicable random drawing.

A purchase does not provide preferential treatment in winner selection.

Eligibility, entry limits, entry deadlines, prize descriptions, odds of winning, and winner selection procedures are governed by the applicable Official Giveaway Rules.

7. GIVEAWAY AVAILABILITY & WINNER SELECTION

Each LXDN+ Giveaway has a predetermined number of digital product tickets available for purchase.

The maximum number of tickets will be displayed on the applicable Giveaway Page.

Unless otherwise specified, ticket sales for a Giveaway will close once all available digital product tickets have been sold.

The closing of ticket sales does not necessarily mean the immediate completion of the Giveaway or the immediate selection of a winner.

The Sponsor will account for applicable entry deadlines, valid no-purchase entries, and any required processing and verification before conducting the random drawing.

The drawing date and any applicable changes will be communicated through the Giveaway Page or other official LXDN+ channels.

All valid promotional entries will be considered during the winner selection process.

A potential winner must satisfy all eligibility and verification requirements before receiving the advertised prize.

The Sponsor reserves the right to disqualify fraudulent or invalid entries and select an alternate winner where permitted under the Official Giveaway Rules and applicable law.

8. OPTIONAL CASH ALTERNATIVE TO PRIZE

The primary prize for each LXDN+ Giveaway is the specific watch or other prize identified on the applicable Giveaway Page and in its Official Giveaway Rules.

Where permitted by applicable law and expressly provided for in the applicable Official Giveaway Rules before the Giveaway begins, LXDN Plus Inc. may, at its sole discretion, offer a confirmed winner a cash alternative equal to seventy percent (70%) of the advertised retail value of the prize. For this purpose, the advertised retail value is the fixed value stated in Canadian dollars (CAD) in the applicable Giveaway’s Official Giveaway Rules, not a later market valuation or resale estimate.

A cash alternative is not automatically available and cannot be demanded by a winner. Any cash alternative requires the winner’s voluntary agreement and written confirmation from LXDN Plus Inc. If the winner does not accept an offered cash alternative, the advertised prize remains available in accordance with the applicable Official Giveaway Rules and law.

Any agreed cash alternative will be paid in Canadian dollars (CAD), unless the applicable Official Giveaway Rules expressly state otherwise. Any legally required reporting, withholding, or other obligations will be handled in accordance with applicable law.

This section applies only to Giveaways launched on or after the effective date of these updated Terms and only where the cash-alternative provision is included in that Giveaway’s Official Giveaway Rules before entries open. It does not alter the prize rights or terms applicable to earlier Giveaways.

9. USER ACCOUNTS & SECURITY

Users may create accounts to manage purchases, review ticket information, and access related Website features.

You are responsible for:

• Maintaining accurate account information.
• Protecting login credentials.
• Preventing unauthorized access to your account.
• Notifying LXDN+ of suspected account compromise.

You agree not to share accounts for fraudulent purposes or attempt to interfere with another user’s account.

We reserve the right to suspend or restrict accounts involved in suspected fraud, misuse, or violations of these Terms, subject to applicable law.

10. MOBILE TERMS OF SERVICE

The LXDN+ mobile messaging service is operated by LXDN Plus Inc.

By subscribing to our SMS messaging service, you agree to receive communications in accordance with the consent you provide.

Messages may include:

• Promotional offers and new giveaway announcements.
• Ticket availability updates.
• Order-related notifications.
• Other marketing or transactional communications, as applicable.

Message frequency may vary.

Message and data rates may apply.

Consent to receive promotional text messages is not a condition of purchase or giveaway participation.

You may reply STOP to unsubscribe from supported SMS messaging services or HELP for assistance.

Wireless carriers are not responsible for delayed or undelivered messages.

Customers purchasing Digital Wallpaper Packs receive a limited, non-exclusive, non-transferable licence to download and use those products for personal, non-commercial purposes.

• Upload digital products for unauthorized public distribution.
• Reproduce or commercially exploit digital content.
• Claim ownership of LXDN+ intellectual property.
• Remove copyright or ownership notices where applicable.

Unauthorized use may result in account restrictions or other remedies permitted by law.

13. TRADEMARKS

The LXDN+ name, logos, and associated branding are trademarks or other brand identifiers of LXDN Plus Inc.

Unauthorized commercial use is prohibited.

Third-party trademarks, brand names, and product images appearing on the Website remain the property of their respective owners.

Unless expressly stated, reference to a third-party brand does not imply sponsorship, endorsement, or affiliation.

14. WEBSITE USE & PROHIBITED ACTIVITIES

You agree to use the Website only for lawful purposes.

You may not:

• Attempt unauthorized access to Website systems.
• Interfere with Website security or functionality.
• Use bots or automated systems to manipulate purchases or giveaways.
• Submit fraudulent payment information.
• Manipulate giveaway entries or ticket allocations.

We may investigate suspected violations and take appropriate action, including account restrictions, order cancellation, or invalidation of fraudulent entries.

To the maximum extent permitted by applicable law, LXDN Plus Inc. shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of the Website, including lost profits, lost opportunities, or interruptions to Website availability.

Where legally permitted, the Company’s aggregate liability arising from a particular digital product transaction will be limited to the amount paid for that transaction.

These limitations do not apply where prohibited by law or to liability that cannot legally be excluded or restricted.

Nothing in these Terms restricts mandatory consumer rights or legal remedies.

17. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless LXDN Plus Inc., its directors, officers, employees, agents, and affiliates against third-party claims, losses, or reasonable expenses directly arising from:

• Your fraudulent or unlawful use of the Website.
• Your material violation of these Terms.
• Your infringement of third-party intellectual property rights.
• Your intentional interference with Giveaway operations.

This provision does not require you to indemnify the Company for its own unlawful conduct or liabilities that cannot legally be transferred.

18. FORCE MAJEURE

LXDN Plus Inc. shall not be responsible for delays or failures to perform obligations caused by circumstances beyond its reasonable control, including:

• Natural disasters.
• Government restrictions.
• Significant internet or telecommunications disruptions.
• Labour disputes.
• Payment processor outages.
• Major technical failures.

Where such events affect a Giveaway, the Sponsor may take appropriate measures consistent with the Official Giveaway Rules and applicable law.

Mandatory consumer rights remain unaffected.

19. ASSIGNMENT

You may not transfer your rights or obligations under these Terms without our prior written consent, except where applicable law provides otherwise.

LXDN Plus Inc. may assign its rights and obligations in connection with a legitimate business restructuring, acquisition, or transfer, subject to applicable law and required notifications.

20. DISPUTES & GOVERNING LAW

We encourage customers to contact support@lxdnplus.com to seek an informal resolution to any concern before pursuing formal legal proceedings.

These Terms are governed by the laws of Manitoba, Canada, and applicable federal laws of Canada, except where mandatory consumer protection laws require otherwise.

Where legally permitted, disputes arising from these Terms may be brought before the courts of Manitoba.

Nothing in these Terms deprives consumers of mandatory rights, protections, or remedies available under the laws of their place of residence.

21. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Any unenforceable provision will be interpreted or limited only to the extent legally permissible.

22. CHANGES TO THESE TERMS

LXDN Plus Inc. may update these Terms periodically to reflect changes in our digital products, giveaway operations, Website functionality, or legal requirements.

Updated Terms will be published on the Website with a revised effective date.

Material changes will be communicated where required by applicable law.

Changes will not retroactively remove rights or obligations associated with completed transactions or existing Giveaway entries where prohibited by law.
